Langu Company Sets 15 Sept 2026 AGM; Seeks Fresh 20% Issuance Mandate and 10% Buy-back Authority

Langu Company Limited (stock code 08072) has issued a circular convening its 2026 annual general meeting for 11:00 a.m. on 15 September 2026 at Harcourt House, Wanchai, Hong Kong.

Key proposals to be voted:

1. Share issuance mandate • Directors seek authority to allot and issue up to 20% of issued share capital. • Based on 168.35 million shares in issue as at 10 August 2026, the limit equals 33.67 million shares. • Any shares repurchased under the buy-back mandate may be re-allotted under an extension mandate.

2. Share buy-back mandate • Authority to repurchase up to 10% of issued shares, or 16.83 million shares. • Directors state no repurchases have been made in the past six months and no immediate plans are in place.

3. Board changes • Executive director Li Sheung Him Michael and independent non-executive director Suen Tin Yan retire by rotation and offer themselves for re-election. • The nomination committee confirms both candidates meet independence and performance criteria.

4. Auditor re-appointment • Rongcheng (Hong Kong) CPA Limited proposed to continue as auditor for FY 2026/27. • Audit fee estimated at HK$0.55 million–HK$0.60 million, subject to final negotiation.

• The register of members will close 10–15 September 2026; proxy forms must reach Boardroom Share Registrars (HK) by 11:00 a.m. on 13 September 2026. • Major shareholder Aperto Investments holds 51.00% of issued shares; a full 10% buy-back would raise its stake to 56.67% but would not trigger a mandatory offer under the Takeovers Code. • Highest and lowest share prices over the past 12 months were HK$0.55 (Jan 2026) and HK$0.28 (Aug 2025) respectively.

The board recommends shareholders vote in favour of all resolutions. All AGM resolutions will be decided by poll, with results announced after the meeting.
