Haidilao International Holding Ltd. (Haidilao) has entered into a loan agreement with its controlling shareholder, Executive Director, Chairman and CEO, Mr. Zhang Yong, on 12 October 2026. The company will extend a short-term loan facility in Hong Kong dollars up to the equivalent of RMB100.00 million, funded entirely from internal resources.
The facility will be drawn in a single lump sum within three business days of signing and matures 30 days after disbursement. Interest is set at one-month HIBOR plus 60 basis points—above the rate earned on Haidilao’s comparable HKD deposits—thereby generating incremental interest income for the Group. The loan is unsecured; however, the agreement allows for security should both parties subsequently deem it necessary.
Proceeds are restricted to Mr. Zhang’s personal financial arrangements and expressly barred from use in illicit activities, acquisition of Haidilao shares, onward lending, or any action contravening Hong Kong Listing Rules. The company retains monitoring rights over fund usage and may demand immediate repayment under specified adverse conditions, including misuse of funds or material deterioration in the borrower’s financial standing.
Under Chapter 14A of the Hong Kong Listing Rules, the transaction constitutes financial assistance to a connected person. With the highest applicable percentage ratio exceeding 0.1 percent but below 5 percent, the deal requires public disclosure and Board approval but is exempt from circular, independent financial advice, and shareholder approval. Mr. Zhang abstained from voting on the Board resolution; no other directors held a material interest.
Management states that the facility’s short tenor, market-aligned pricing, and usage restrictions protect shareholder interests while optimizing returns on surplus cash. The company confirms sufficient liquidity and no expected impact on daily operations or ongoing business expansion.
