Life Concepts Holdings Limited has issued a supplemental announcement clarifying details of its independent auditor mandate. Following shareholder approval at the 30 September 2026 annual general meeting, McMillan Woods (Hong Kong) CPA Limited will continue as the Group’s auditor through the financial year ending 31 March 2027.
The parties have agreed an estimated audit fee of HK$1.00 million, exclusive of out-of-pocket expenses and disbursements, mirroring the fee paid for the year ended 31 March 2026. Management determined the figure after considering historical fees, prevailing market rates, the Group’s size and operational complexity, anticipated audit scope and risk profile, expected timetable and workload, and the composition and experience of the audit team.
Assumptions underpinning the fee include no material changes to the Group’s corporate structure, business model, accounting policies or regulatory environment during the period, and timely provision of information by the Company. The Audit Committee reviewed these factors, confirmed the auditor’s independence and capabilities, and recommended both the re-appointment and the fee level as fair and reasonable.
The Board does not expect a material deviation from the HK$1.00 million estimate unless significant changes occur; any substantive variance will prompt further disclosure. All other information in the 4 September 2026 circular and the AGM poll results announcement remains unchanged.
