Hong Kong-listed Zhongke Group Holdings Limited announced the successful completion of its previously disclosed convertible bond placement on 5 October 2026. All conditions in the Subscription Agreement have been fulfilled, enabling the issuance of USD3.00 million (HKD23.40 million) in aggregate principal amount of convertible bonds to a single subscriber under a specific mandate.

If the bonds are fully converted at the agreed conversion price, Zhongke Group’s outstanding share capital will rise from 77.67 million to 98.94 million shares—an expansion of approximately 27.40%. The incoming investor would receive 21.27 million shares, translating into a 21.50 % post-conversion stake.

The enlarged equity base would dilute existing holdings. Copious Astute Limited—currently the company’s largest shareholder—would see its ownership fall from 27.56 % to 21.64%. Public shareholders’ collective stake would decline from 70.12 % to 55.04%, while directors’ combined percentage interests would each decrease proportionally, although their absolute share counts remain unchanged.

The transaction was approved by shareholders in September 2026 and is executed under the authority of a specific mandate. No additional financial terms or use-of-proceeds details were disclosed in the announcement.
