Hong Kong, 13 October 2026 – China Railway Group Limited (“CHINA RAILWAY” or “the Company”) has appointed Mr. Zhong Jun as Secretary to the Board and Joint Company Secretary, effective immediately and lasting through the current sixth Board term. Mr. Tam Chun Chung will continue as the other Joint Company Secretary.

Mr. Zhong, aged 54, currently heads the Company’s Board Office. Since joining the Group in July 1994, he has held senior roles spanning legal, compliance, human resources and executive management—most recently serving as Chairman of China Railway No. 8 Engineering Group before becoming Director of the Board Office in August 2026. He holds a bachelor’s degree in education from Sichuan Normal University (1994) and an MBA from Southwest Jiaotong University (2003).

Mr. Tam, also 54, has been Joint Company Secretary since the Company’s Hong Kong listing in 2007 and remains an authorised representative. A fellow of the Chartered Association of Certified Accountants, he brings more than 32 years of accounting and auditing experience.

To facilitate Mr. Zhong’s transition, the Hong Kong Stock Exchange has granted the Company a three-year waiver from strict compliance with Listing Rules 3.28 and 8.17, which require a company secretary to possess specific professional qualifications or relevant experience. Key conditions include:

• Mr. Zhong will work under the guidance of Mr. Tam throughout the waiver period to acquire the requisite “relevant experience.” • The waiver is valid for three years from 13 October 2026 and may be revoked upon any material breach of the Listing Rules. • Prior to expiry, the Company must demonstrate to the Exchange that Mr. Zhong has gained sufficient experience to fulfil the company secretary role independently.

The interim arrangement under which Chairman Mr. Chen Wenjian acted as Secretary to the Board, instituted after the 31 July 2026 resignation of former joint company secretary Mr. Ma Yonghong, ceased upon Mr. Zhong’s appointment.

As of the announcement date, the Board comprises two Executive Directors (Mr. Chen Wenjian, Mr. Zhao Dianlong), two Non-executive Directors (Mr. Wen Limin, Mr. Fang Xiaobing) and three Independent Non-executive Directors (Mr. Xiu Long, Ms. Sun Lishi, Mr. Tu Haiming).
